1. Agreement to Terms

By accessing or using the Adship platform and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Adship provides a unified platform for creating, managing, and analyzing advertising campaigns across Meta (Facebook/Instagram) and TikTok, including but not limited to:

• Bulk upload and management of ad creatives (images and videos)
• Ad creation, duplication, and campaign launching across Meta and TikTok
• Ads Manager for viewing, editing, and managing Meta and TikTok ads
• Comments AI for automated comment moderation and replies
• Import creatives from Google Drive
• Integration with Meta's Marketing API and TikTok Marketing API
• Enhancement blocking to prevent unwanted Meta modifications to your ads
• Analytics dashboard displaying ad performance metrics
• AI-powered ad copy generation and ad policy checking
• Product information extraction from e-commerce websites
• Automation rules for campaign management
• Team collaboration with workspace management

Google Ads is a dormant legacy integration and is not available for new connections, campaign management, automation, or reporting. Existing legacy records may be retained securely for data integrity and account support.

Important: While we access ad performance metrics to display in our analytics dashboard, this data is fetched on-demand and displayed only to you. We do not store this data long-term or share it with third parties.

3. Account Registration

To use our Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access or security breaches
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Platform Integrations

Our Service integrates with third-party advertising platforms through their official APIs.

4.1 Meta (Facebook/Instagram)

By connecting your Meta account:

• You authorize us to access and manage your Meta advertising accounts on your behalf
• You authorize us to read and moderate comments on your ads
• You agree to comply with Meta's Terms of Service and Advertising Policies
• You understand that Meta may change or discontinue API access at any time
• You acknowledge that we are not affiliated with Meta Platforms, Inc.

4.2 TikTok Ads

By connecting your TikTok Ads account:

• You authorize us to access and manage your TikTok advertising accounts on your behalf
• You agree to comply with TikTok's Terms of Service and Advertising Policies
• You acknowledge that we are not affiliated with TikTok or ByteDance

4.3 Legacy Google Ads data

Google Ads is not available for new connections or active campaign operations. If you connected Google Ads before the integration became dormant:

• Legacy account metadata and encrypted credentials may be retained for data integrity, support, and deletion requests
• Adship will not use those credentials for active Google Ads campaign operations
• You may revoke access in your Google account settings or request deletion through support

Adship's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

You are solely responsible for ensuring your advertising content complies with each platform's advertising policies and all applicable laws.

5. AI-Powered Features

Our Service includes AI-powered features to help you create effective advertising content:

• Ad Copy Generation: Our AI generates ad headlines, primary text, and descriptions based on the product information you provide.
• Ad Policy Checker: Our AI analyzes your ad copy against Meta advertising policies to flag potential issues before submission.
• Comments AI: Our AI assists in moderating and replying to ad comments across your connected accounts.
• Product Extraction: When you provide a website URL, we analyze publicly available content to help pre-fill product details.

By using these AI features, you acknowledge that:

• AI-generated content is provided as suggestions and should be reviewed before use
• You are responsible for ensuring AI-generated content complies with Meta's advertising policies
• Product information and prompts you submit may be processed by third-party AI providers solely to fulfill your generation requests
• We do not guarantee the accuracy, effectiveness, or legal compliance of AI-generated content

6. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Create or distribute misleading, fraudulent, or deceptive advertisements
• Advertise prohibited products or services
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Collect personal information of others without consent
• Engage in any activity that could harm our reputation or business

7. Subscription and Payment

7.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees associated with your subscription.

7.2 Cancellation and Refunds

You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period and you retain access until then.

14-day money-back guarantee: If you are not satisfied with a paid plan, email support@adship.ai within 14 days of your first paid charge and we will issue a full refund. Renewals after the first 14 days are non-refundable; partial billing periods are not refunded outside the guarantee window. See our Refund Policy for full details.

7.3 Price Changes

We reserve the right to modify subscription prices. We will provide at least 30 days' notice before any price changes take effect.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Adship and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited license to use, store, and display that content as necessary to provide the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from using the Service will be accurate or reliable
• The Service will meet your specific requirements or expectations
• Any errors in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSHIP INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Advertising spend or campaign performance

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Adship and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your advertising content or campaigns
• Your violation of any third-party rights

12. Termination

By you: You may stop using the Service or delete your account at any time from Settings → Account.

By us, for cause: We may suspend or terminate your account immediately, without prior notice, for material violations of these Terms (including fraud, abuse, illegal activity, or threats to platform integrity or other users).

By us, without cause: We may terminate paid accounts without cause on 30 days' written notice (sent to the email associated with your account). If we terminate without cause, we will refund any prepaid fees for the unused portion of your subscription.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that should survive termination shall survive, including ownership, warranty disclaimers, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
